Terms for using Clerwell and Clerwell AI workers
These terms govern access to the Clerwell website, accounts, AI workers, deployments, support, and related services provided by Clerwell Private Limited.
1. Acceptance
By accessing Clerwell, creating an account, installing the software, using a managed service, or assigning work to a Clerwell worker, you agree to these terms. If you use Clerwell for an organization, you confirm that you are authorized to accept these terms for that organization.
2. Clerwell services
Clerwell provides software and services for creating AI workers with roles, memory, instructions, permissions, connected tools, audit trails, and human oversight. Clerwell may be offered as a self-deployed product, managed deployment, private cloud deployment, on-premise deployment, or related support service.
3. Accounts and access
You are responsible for account security, user permissions, passwords, connected services, API keys, model provider credentials, and all activity under your account. You must keep credentials confidential and promptly notify us of unauthorized access.
4. Customer content and worker outputs
You retain ownership of your customer content. You grant Clerwell the limited rights needed to host, process, transmit, display, secure, and support that content so Clerwell can provide the services you request.
AI outputs may be incomplete, inaccurate, or unsuitable for some uses. You are responsible for reviewing outputs, setting approval rules, and deciding when human judgment is required. Clerwell workers should not be used as a substitute for professional legal, medical, financial, safety, or regulatory advice.
5. Acceptable use
You may not use Clerwell to violate law, infringe rights, attack systems, bypass security, send spam, create malicious code, abuse connected tools, scrape without authorization, impersonate others, process data without proper rights, or deploy workers in a way that harms people or organizations.
6. Connected tools and model providers
Clerwell may connect with third-party tools, model providers, email, calendars, storage, communication systems, payment providers, analytics, and other services. Your use of those services is governed by their terms. You are responsible for choosing providers, configuring access, and confirming that your use is lawful and appropriate.
7. Plans, billing, and credits
Paid plans, AI credits, SLM training, deployment assistance, enterprise support, and custom services are governed by the plan terms or order form presented at purchase. Fees are due as stated in the applicable invoice or checkout flow. Taxes, third-party provider costs, usage overages, and infrastructure costs may apply.
8. Self-deployment and customer responsibilities
For self-deployed, private cloud, or on-premise use, you are responsible for your infrastructure, security configuration, updates, backups, provider keys, access controls, and compliance obligations unless a signed agreement says otherwise.
9. Privacy and data protection
Our Privacy Policy explains how Clerwell handles personal data. If Clerwell processes personal data on behalf of your organization, you are responsible for having appropriate notices, consents, instructions, lawful bases, retention settings, and agreements with your users and customers.
10. Intellectual property
Clerwell, its software, design, brand, documentation, and service features are owned by Clerwell or its licensors. These terms do not transfer ownership of Clerwell intellectual property to you.
11. Availability and changes
We may update, improve, suspend, or discontinue parts of Clerwell. We aim to provide reliable services, but we do not guarantee uninterrupted or error-free operation.
12. Disclaimers and limitation of liability
Clerwell is provided to the maximum extent permitted by law without warranties that are not expressly stated. To the maximum extent permitted by law, Clerwell will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or business interruption.
13. Suspension and termination
We may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay, or use Clerwell in a harmful way. You may stop using Clerwell at any time, subject to any active order, billing, retention, or export terms.
14. Governing law
Unless a signed agreement says otherwise, these terms are governed by the laws applicable to Clerwell Private Limited in India, without regard to conflict of law principles.
